In 1990s, the photography industry was changing rapidly as consumers preferred digital camera, which did not require any film. It was a fundamental shift in the mindset of consumers, which Kodak did not recognize. As a consequence, Kodak came under the tremendous pressure from the digital alternative. Then, Kodak started doing everything it could, for a transition from traditional film business into digital business. Kodak expanded into all directions in photography, printing and imaging business. It is now concentrating on the medical imaging business by acquiring Practice Works, Inc. on October 07, 2003.

Given this reality, we are moving fastas digital markets demandto transform our business portfolio, with an emphasis on digital commercial markets. The digital world is full of opportunity for Kodak, and we intend to lead it, as we have led innovation in the imaging industry for more than a century.

Kodak, the company that "made photography available to all, acquired PracticeWorks, Inc. on October 07, 2003, to cement its position in the dental practice management software (DPMS) and digital radiographic imaging market (Exhibits I & II). With them, Kodak would be able to provide a full spectrum of dental imaging products and services, ranging from film, photography and digital radiography.
